Job Description

IFS is seeking an experienced attorney for the role of Corporate Counsel. This position is for a thoughtful transactional attorney to assist IFS with all of its legal obligations, ranging from negotiating high-value commercial contracts to corporate governance to M&A to dispute management.

In this highly collaborative role, you will:

  • Draft and negotiate commercial contracts, including software license agreements, consulting agreements, SaaS agreements, leases, and marketing agreements;
  • Give accurate and timely advice, with integrity and responsibility, to all of IFS's business teams on a variety of issues, but especially to Sales, Services, Finance, Marketing, and Partner teams;
  • Improve legal processes and procedures, including the development of standard contract terms;
  • Assist with corporate governance, M&A, compliance, litigation, and employment matters.
  • Work collaboratively with the broader IFS legal team by sharing knowledge, helping out team members, and sharing areas of expertise;
  • Coordinate with outside counsel as necessary;
  • Keep up to date with changes in laws and regulation and maintain a deep industry knowledge.

Qualifications

Required 

  • Juris Doctor from an ABA-accredited law school;
  • A minimum of four years of transactional experience at a law firm and/or in-house legal department;
  • Licensed and in good standing to practice law in one or more states;
  • Experience drafting and negotiating commercial contracts;
  • Strong attention to detail and proven ability to prioritize competing demands in a fast-paced environment;
  • Ability to work independently and demonstrate sound judgment to make real time decisions in ambiguous situations;
  • Strong interpersonal, written and oral communication, and organizational skills;
  • Interest in being a legal generalist;
  • A "roll-up your sleeves" attitude -- no project is too big or too small for you.

Preferred 

  • Experience as an in-house attorney, preferably for a technology company;
  • Experience drafting and negotiating software/cloud/SaaS agreements;
  • Experience managing outside counsel in disputes;
  • Experience advising buyers in M&A and post-merger integrations.

 

Additional Information

This is a hybrid position with the expectation of being in the Itasca office at least 1-2 days per week.
